Papel de las Juntas Directivas como órganos de Gobierno Corporativo en las Empresas Sociales del Estado en Bogotá / Role of the Boards of Directors as Corporate Governance bodies in SOEs in Bogota

RESUMEN

Antecedentes El otorgamiento de autonomía a los hospitales públicos como estrategia para mejorar su desempeño, requiere la creación de instancias de Gobierno Corporativo (GC) que garanticen que el gerente llevará la institución por buen camino. Las juntas Directivas, como organismos de GC, deben estar preparadas para asumir esta función. Objetivo Analizar el papel de las Juntas Directivas como organismos de GC, en cinco Empresas Sociales del Estado (ESEs) del Distrito. Metodología Técnicas de investigación cualitativa, con la realización de encuestas, entrevistas semi-estructuradas, observación no participante y evaluación de conocimientos básales, en un abordaje de estudio de caso. Se utilizó una muestra por conveniencia de cinco hospitales dos de nivel I, dos de nivel II y uno de nivel III. En los niveles I y II se utilizó un hospital fusionado y otro no fusionado. Resultados Existe un amplio margen para que las Juntas fortalezcan su papel como instancias de GC. La existencia de múltiples principales, los conflictos entre sus respectivas agendas y la falta de claridad sobre la función objetivo, así como la falta de mecanismos explícitos de rendición de cuentas, tanto entre gerentes y Junta como entre ésta y sus representados, disminuyen la efectividad de la Junta en el GC. También contribuyen a esto, la excesiva concentración de las sesiones de junta en las modificaciones presupuéstales, y el bajo nivel de conocimientos por parte de los representantes del estamento comunitario sobre aspectos relevantes para el GC. Se percibe una mayor relevancia de las juntas en los niveles I.

ABSTRACT

Background Granting autonomy to public hospitals as a strategy to improve their performance requires the creation of corporate governance (CG) bodies to ensure that the manager will steer the institution in the right direction. The Boards of Directors, as CG bodies, must be prepared to assume this role. Objective To analyze the role of Boards of Directors as corporate governance bodies in five State Social Enterprises (ESEs) in the District. Methodology Qualitative research techniques, using surveys, semi-structured interviews, non-participant observation and evaluation of basic knowledge, in a case study approach. A convenience sample of five hospitals was used two level I, two level II and one level III. One merged and one non-merged hospital were used in levels I and II. Results There is ample room for Boards to strengthen their role as QA bodies. The existence of multiple principals, conflicts between their respective agendas and lack of clarity about the target role, as well as the lack of explicit accountability mechanisms, both between managers and the Board and between the Board and its constituency, diminish the effectiveness of the Board in QA. Also contributing to this are the excessive concentration of board sessions on budget modifications, and the low level of knowledge of community representatives on issues relevant to the CG. Board meetings are perceived to be more relevant at Levels I and II.
